Terms of Service

1. Introduction and Acceptance

These Terms of Service (the "Terms") govern your access to and use of Stockily, a subscription software-as-a-service platform that provides enterprise resource planning tools for cash-on-delivery e-commerce (the "Service"), operated by Stockily ("Stockily", "we", "us", or "our") and made available at https://www.stockily.io.

By creating an account, starting a free trial, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" and "your" refer to that entity.

If you do not agree to these Terms, you must not access or use the Service. This document is a draft prepared for Stockily to review with its own legal counsel and does not constitute legal advice.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use the Service.

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws and regulations, including those governing e-commerce, consumer protection, and the sale and delivery of goods in the territories in which you operate.

3. Description of the Service

Stockily is a cloud-based platform designed to help merchants manage cash-on-delivery e-commerce operations, including order management, inventory and warehouse management, fulfillment, courier coordination, storefronts, and related reporting and analytics features.

We provide the Service on a subscription basis. We may add, modify, or discontinue features over time to improve the Service. We will use commercially reasonable efforts to provide reliable, continuous access, but the Service is provided on an "as available" basis and we do not guarantee uninterrupted availability.

4. Accounts and Security

To use the Service you must create an account and provide accurate, current, and complete information. You are responsible for keeping your account information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to maintain reasonable security practices, to restrict access to authorized users only, and to notify us promptly at if you become aware of any unauthorized access or use of your account.

You are responsible for the acts and omissions of any users you authorize to access the Service through your account, and for ensuring that those users comply with these Terms.

5. Subscription Plans and Free Trial

We offer the Service under subscription plans billed monthly or annually, as described at https://www.stockily.io at the time of purchase. The features, usage limits, and pricing of each plan are set out in the plan descriptions.

New customers may start a 14-day free trial of the Service. No credit card is required to begin the free trial. During the trial you may use the Service subject to these Terms and any limits described for the trial plan.

Billing begins only when you explicitly choose to upgrade to a paid plan. We will not charge you automatically at the end of the free trial. If you do not upgrade, your access to paid features ends when the trial expires, and no charge is made.

When you upgrade, you authorize recurring charges for your chosen plan (monthly or annual) until you cancel. Subscriptions renew automatically at the end of each billing period at the then-current rate for your plan unless you cancel before the renewal date.

6. Payments and Billing

All fees are stated and charged in United States Dollars (USD), unless stated otherwise at the point of purchase. You are responsible for any taxes, duties, or similar charges associated with your subscription, other than taxes based on our net income.

Payments are processed by Stripe, our third-party payment processor, through Stripe-hosted Checkout. Your payment card details are entered directly with Stripe and never pass through or are stored on Stockily servers. Your use of Stripe is subject to Stripe's terms and privacy policy, available at https://stripe.com/privacy.

By providing payment information through Stripe, you authorize us, via Stripe, to charge the applicable subscription fees. If a payment fails or is reversed, we may suspend or downgrade your access until the amount due is paid.

Except where required by applicable law or expressly stated in these Terms, fees are non-refundable and there are no refunds or credits for partial subscription periods.

7. Cancellation and Effect of Cancellation

You may cancel your subscription at any time on a self-serve basis through the Stripe customer portal accessible from your account. No cancellation fees apply.

When you cancel, your subscription will not renew for the next billing period. Your access to paid features continues until the end of the period you have already paid for, after which your account reverts to a free or limited state, or access ends, as applicable.

Cancellation does not entitle you to a refund of fees already paid for the current period, except where required by applicable law.

8. Acceptable Use

You agree not to misuse the Service. In particular, you must not: (a) use the Service for any unlawful, fraudulent, or deceptive purpose; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems or networks; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer, copy, or create derivative works of the Service except as permitted by law; (e) resell or sublicense the Service without our authorization; or (f) upload or transmit malicious code or content that infringes the rights of others.

This is a summary of acceptable use. A full Acceptable Use Policy may be provided separately and, where provided, forms part of these Terms. We may suspend or terminate access for violations of acceptable use.

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by Stockily or its licensors and is protected by intellectual property and other laws. The name "Stockily" and related marks are the property of Stockily or its licensors.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term.

We welcome feedback and suggestions. If you provide them, you grant us a non-exclusive, royalty-free, perpetual right to use that feedback to improve the Service, without obligation to you.

10. Customer Data and Ownership

As between you and Stockily, you own all data and content that you or your users submit to or generate through the Service ("Customer Data"). We do not claim ownership of your Customer Data.

You grant us a limited license to host, store, process, transmit, and display your Customer Data solely as necessary to provide, maintain, secure, and improve the Service, to provide support, and as otherwise instructed by you or permitted by these Terms. Stockily processes your Customer Data on your behalf to deliver the Service.

You are responsible for the accuracy, quality, and legality of your Customer Data and for having the necessary rights and consents to collect and use it, including any personal data of your customers. Our handling of personal data is further described in our Privacy Policy.

11. Third-Party Services

The Service may integrate with or rely on third-party services and products, such as Stripe for payment processing, couriers, e-commerce platforms, and other integrations you choose to enable.

Your use of third-party services is governed by those third parties' own terms and policies, and we are not responsible for their availability, performance, or practices. Any integration you enable is at your discretion, and you are responsible for your relationship with those providers.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by applicable law.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. You are responsible for your business decisions and operations, and the Service is a tool to support, not replace, your own judgment and record-keeping.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Stockily and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total amount you paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Stockily and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party, including your customers.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, business, or legal requirements. If we make material changes, we will provide reasonable notice, for example by email or through the Service, before the changes take effect.

Your continued use of the Service after the changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and may cancel your subscription.

16. Termination

You may stop using the Service and cancel your subscription at any time as described in the Cancellation section.

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that creates legal risk or harm to us, other users, or third parties. Where practicable and not prohibited by the circumstances, we will provide notice and a reasonable opportunity to cure.

Upon termination, your right to use the Service ends. We will make your Customer Data available for export for a reasonable period as described in our policies, after which we may delete it in the ordinary course, subject to legal retention requirements. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law, will survive.

17. Governing Law and Governing Language

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of , without regard to its conflict-of-laws principles.

The English version of these Terms is the binding version; French and Arabic translations are provided for convenience only and, in case of conflict, the English version prevails.
